Terms and Conditions

Welcome to Knobcloud ("we", "our", "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, marketplace and related services (collectively, the "Platform"). By using the Platform, you agree to be bound by these Terms.
1. About us and scope
Knobcloud UG (haftungsbeschränkt), Germershausen 1, 35096 Weimar, Germany (the "Company"). German law applies to these Terms and any contracts concluded through the Platform unless mandatory consumer protection rules of your country of residence provide otherwise. For users domiciled in the EU, the mandatory consumer protection provisions of their habitual residence remain unaffected (Art. 6(2) Rome I Regulation).
2. Marketplace model and roles
- Peer marketplace: Users can interact and transact with one another. Please conduct yourself in a respectful and civilized manner. Harassment, hate speech, spam, or abuse is prohibited.
- Free-to-use sections: Parts of the marketplace are free to use but there is no legal right to use the Platform. We may refuse or withdraw access at our discretion.
- Moderation and exclusion: We reserve the right to suspend or terminate accounts, remove listings, and exclude users at our sole discretion, including where users do not conduct themselves appropriately or are suspected of scamming or attempting fraud.
3. Historical Terms of Use (legacy KC rules)
The following legacy rules applied when Knobcloud operated solely as a free-to-use audio software marketplace. They remain part of our conduct and usage standards alongside the new model described below:
- Purpose: Knobcloud (KC) is a place dedicated to selling music production software. To buy or sell you must open an account. We store information you provide to operate the site. You may request account deletion at any time.
- Age/capacity: By using KC you confirm you are of sufficient age and capacity to enter into legal contracts.
- Permitted use: You may use KC for buying and selling registered audio production software licenses. Selling unregistered licenses is only allowed if you have been approved as a commercial reseller or developer (see FAQ). Any other use is prohibited.
- Prohibited behaviors: Using bots (only manual browser use is permitted); copying or using content, including user information, without permission.
- Posting limits: You may only post offers of music production software. You are not allowed to open more than one account. You may create up to 10 selling offers a day and a maximum of 50 active offers at a time.
- Moderation: Infractions may lead to a ban. We reserve the right to ban users whose behavior we consider suspicious (e.g., selling many licenses unusually fast/cheap) or where we believe rights of users or third parties are violated.
- Payments (legacy): Historically, using KC required a PayPal account linked to your Knobcloud account. We recommended PayPal Buyer Protection and advised sellers to ensure they can prove license transfers with the developer when needed.
- Reporting: To report a seller who did not transfer a license, email info@knobcloud.com.
- Seller legality: Sellers may only sell software they are entitled to sell. On notice of unauthorized sales, we remove such offers. We cannot proactively review every offer but investigate reports sent to info@knobcloud.com.
4. Presets and Samples — ownership and license
- Original works only: Sellers offering Presets and/or Samples must only sell their own original works and must hold full copyright ownership in the offered content. Uploading or selling content owned by third parties is prohibited.
- License to buyers: By selling Presets and/or Samples on the Platform, the Seller grants the Buyer a perpetual, worldwide, royalty‑free license to use the purchased Presets/Samples for creating music and audio productions. Unless expressly permitted by the Seller, Buyers may not resell, redistribute, sublicense, or otherwise make the content available as competing presets/samples or in isolation.
- No resale by buyers: Buyers acknowledge that re‑selling the Presets/Samples themselves (as products, packs, or isolated files) is not permitted.
5. Merchant of Record, supplier and fees
For sales of Presets and/or Samples on the Platform, Knobcloud acts as the Merchant of Record. The individual artist who provides the content is deemed the supplier. Payments are processed via third‑party payment processors (e.g., Stripe). Knobcloud retains a 10% platform fee from each such sale; the remainder is settled to the artist subject to payment processor fees and applicable taxes. Applicable taxes are handled according to the information presented during checkout and on the invoice.
6. Account, eligibility and conduct
- Eligibility: You must be capable of forming a binding contract under applicable law. If you are under the age required by law in your country, you may only use the Platform under the supervision of a parent or legal guardian who agrees to these Terms.
- Account security: Keep your credentials secure. You are responsible for all activity under your account.
- Community standards: Treat others respectfully. Do not engage in harassment, threats, defamation, illegal activity, spam, or manipulation (including rating/review manipulation or transaction circumvention).
7. Contract formation and digital delivery
- Offer and acceptance: Listings constitute invitations to treat. A contract is concluded once you successfully complete checkout and receive confirmation.
- Digital goods: Items are digital content delivered electronically. After successful payment, downloads are typically made available immediately via a secure link. Delivery timestamps may be recorded for fraud‑prevention and dispute resolution.
- Right of withdrawal for digital content: For consumers in the EU/Germany, the statutory right of withdrawal may expire early for digital content not supplied on a tangible medium when (i) you expressly consent to immediate performance and (ii) acknowledge losing your right of withdrawal once performance begins. See § 356(5) BGB. We obtain this consent during checkout for immediate downloads.
8. Prices, platform fee, taxes and payment
- Prices are shown tax‑inclusive unless indicated otherwise. The final breakdown and applicable VAT/GST (if any) are displayed at checkout and on the invoice.
- Platform fee: For Presets/Samples sales under the Merchant‑of‑Record model, Knobcloud charges a 10% fee retained from the transaction.
- Payments are processed by our payment partners (e.g., Stripe). You agree to their terms and to provide accurate billing information.
- Currency conversion fees and bank charges (if any) are your responsibility.
9. Prohibited uses
- Illegal activity, infringement of IP rights, circumvention of fees, exploitation of security vulnerabilities, scraping or reverse engineering, or interference with the Platform are prohibited.
- Do not use the Platform to distribute malware or conduct phishing, spam or scams.
10. Intellectual property
- Platform IP: The Platform, trademarks, and content we provide are protected by IP laws. You receive no rights other than those necessary to use the Platform under these Terms.
- User content: You retain your rights in content you upload. You grant us a non‑exclusive, worldwide, royalty‑free license to host, cache, reproduce and display such content to operate and improve the Platform, and to promote your listings.
- Third‑party rights: You must not upload or sell content that infringes others’ rights.
11. Warranties and liability (German law notes)
- Marketplace items are provided "as is" by Sellers. We do not provide guarantees regarding suitability for a particular purpose unless expressly stated.
- We are liable without limitation for intent and gross negligence, for damages resulting from injury to life, body or health, and under mandatory product liability laws. For simple negligence, we are liable only for breach of material contractual duties (Kardinalpflichten); in that case, liability is limited to foreseeable damage typical for the contract.
- Nothing in these Terms limits rights that cannot be excluded under applicable law.
12. Disputes, chargebacks, and fraud prevention
- We may collect and provide evidence (e.g., delivery and access logs, communication records) to payment processors and card networks in the event of a dispute or chargeback.
- Accounts suspected of fraud may be restricted or terminated. We may share relevant information with payment partners for fraud prevention where lawful.
13. Termination
We may suspend or terminate your access at any time for violation of these Terms, suspected fraud, infringement, or where required by law. You may close your account at any time. Sections which by their nature should survive (e.g., licenses, IP, limitations of liability) will survive termination.
14. Changes to the Platform and to these Terms
We may modify the Platform or these Terms. Material changes will be notified in an appropriate manner. Continued use after changes take effect constitutes acceptance of the updated Terms.
15. Governing law and venue; EU ODR
- These Terms are governed by the laws of Germany. If you are a consumer with habitual residence in the EU, you also benefit from the protection of the mandatory provisions of your country of residence.
- Place of jurisdiction for merchants within the meaning of the HGB and for users who do not have a general place of jurisdiction in Germany is Weimar, Germany. Mandatory consumer jurisdiction rules remain unaffected.
- EU Online Dispute Resolution: https://ec.europa.eu/consumers/odr. We are neither obliged nor willing to participate in a dispute settlement procedure before a consumer arbitration board.

17. Miscellaneous
- Severability: If a provision is or becomes invalid, the remaining provisions remain in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign your rights without our consent. We may assign in connection with a merger, acquisition, or sale of assets.
Note: For Presets/Samples, sellers confirm full copyright ownership; sale grants buyers a royalty‑free usage license for their productions; buyers may not resell the products themselves. Knobcloud is Merchant of Record for these digital products, the artist is the supplier, and Knobcloud retains a 10% platform fee.
